Theia Institute is a research organization dedicated to fostering ethical leadership, accountability, and transparency to improve public policy and governance.

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site.

1. Acceptance of the Terms of Use

4.2. Use of Theia Institute Publications and Research.** Our mission involves the broad dissemination of our work to inform public discourse. Accordingly, we grant you a limited, non-exclusive, non-transferable license to use our Content subject to the following conditions, which are designed to protect the integrity of our work and our intellectual property rights:

Permitted Non-Commercial Use: You may download, reproduce, and distribute our publications, reports, articles, and other Content for your own personal, educational, or other non-commercial purposes, provided that you:
Do not modify, alter, or create derivative works from the Content in any way that changes its meaning or integrity.
Provide clear and prominent attribution to Theia Institute Think Tank. Proper citation should include, at a minimum, the title of the work, "Theia Institute Think Tank," the publication year, and a link back to the original source on our Site where feasible.

5. Permitted and Prohibited Uses of the Site

5.2. Prohibited Uses. You agree not to:

Use the Site for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.

You represent and warrant that you own or control all rights in and to your User Contributions and have the right to grant the license granted above. Your User Contributions must not:

We have the right to remove or refuse to post any User Contributions for any or no reason in our sole discretion.

10. Indemnification

You agree to defend, indemnify, and hold harmless Theia Institute, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Contributions, any use of the Site's Content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

11. Termination

We may terminate or suspend your access to all or part of the Site, without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms, any applicable law, or is harmful to the interests of another user or Theia Institute. The provisions relating to Intellectual Property Rights, Disclaimer of Warranties, Limitation on Liability, Indemnification, Governing Law and Jurisdiction, and the entirety of Section 12 shall survive any termination.

12. General Provisions

12.1. Governing Law and Jurisdiction. All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware in each case located in the City of Dover and County of Kent. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12.2. Dispute Resolution. At Theia Institute's sole discretion, it may require you to submit any disputes arising from these Terms or use of the Site, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying **[Insert State]** law.

12.3. Severability. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12.5. Waiver. No waiver by Theia Institute of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Theia Institute to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
